Affhorse Affiliate Network Terms and Conditions
Introduction
Welcome to Affhorse. By using our services as a vendor, affiliate, or network owner, you agree to comply with and be bound by the following terms and conditions. Please review them carefully.
Definitions
Vendor: An individual or company that lists products on Affhorse.
Affiliate: An individual or company that promotes vendors' products through Affhorse.
Network Owner: The owner of the Affhorse platform.
User: Any party (vendor, affiliate, or network owner) utilizing the Affhorse platform.
General Terms
Acceptance of Terms: By registering and using the Affhorse platform, you agree to comply with all terms outlined in this agreement.
Modification of Terms: Affhorse reserves the right to modify these terms at any time. Users will be notified of changes, and continued use of the platform constitutes acceptance of the modified terms.
Vendor Responsibilities
Product Listings: Vendors must provide accurate and complete descriptions of their products. Misleading or false information is strictly prohibited.
Compliance: Vendors must comply with all applicable laws and regulations regarding their products.
Payments: Vendors agree to the commission structure set forth by Affhorse. Payments to affiliates will be processed in a timely manner.
Customer Support: Vendors are responsible for handling customer inquiries and complaints related to their products.
Affiliate Responsibilities
Promotion: Affiliates must promote products honestly and ethically. Misleading promotions are strictly prohibited.
Compliance: Affiliates must comply with all applicable laws and regulations, including advertising standards and guidelines.
Earnings: Affiliates will earn commissions based on the agreed structure. Affiliates are responsible for any taxes or fees associated with their earnings.
Conduct: Affiliates must not engage in any activities that could harm the reputation of Affhorse or its users.
Network Owner Responsibilities
Platform Maintenance: The network owner is responsible for maintaining the functionality and security of the Affhorse platform.
User Support: The network owner will provide support to vendors and affiliates regarding the use of the platform.
Payments: The network owner will ensure timely payments to affiliates and will manage the commission distribution.
Payments and Commissions
Commission Structure: The commission structure will be clearly outlined and agreed upon by all parties. Changes to the commission structure will be communicated in advance.
Payment Schedule: Payments will be processed on a regular schedule, as defined by Affhorse. Delays due to external factors will be communicated promptly.
Disputes: Any disputes regarding payments or commissions must be reported within 30 days. Affhorse will review and resolve disputes in a fair and timely manner.
Prohibited Activities
Fraudulent Activity: Any form of fraud, including but not limited to click fraud, fake leads, and false advertising, is strictly prohibited.
Intellectual Property Infringement: Users must not use any content or materials that infringe on the intellectual property rights of others.
Spamming: Spamming or unsolicited promotional activities are not allowed.
Termination
Termination by User: Users may terminate their participation in the Affhorse platform at any time by providing written notice.
Termination by Affhorse: Affhorse reserves the right to terminate any user’s account for violation of these terms or any applicable laws.
Effect of Termination: Upon termination, users must cease all use of the platform and return any confidential information or materials belonging to Affhorse.
Confidentiality
Users agree to keep all confidential information, including but not limited to proprietary information and trade secrets, in strict confidence and not to disclose it to any third party without prior written consent.
Liability and Indemnity
Limitation of Liability: Affhorse will not be liable for any indirect, incidental, or consequential damages arising out of the use of the platform.
Indemnification: Users agree to indemnify and hold harmless Affhorse from any claims, damages, or expenses arising out of their use of the platform or violation of these terms.
Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Affhorse operates.
